Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Trinity Sunfire LLC ("Sunfire Exchange," "we," "us"), a Florida limited liability company, governing your access to and use of the Sunfire Exchange website, application, and related services (the "Service"). By creating an account, checking the acceptance box at signup, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Sunfire Exchange is an inventory, listing-management, and AI-assisted tooling platform for resale sellers. The Service helps you draft listings, track inventory and sales across marketplaces, and generate AI-assisted suggestions (pricing, descriptions, photo notes, buyer-message drafts, and similar). The Service does not automatically publish, edit, or delete listings on any third-party marketplace (eBay, Poshmark, Mercari, Depop, Vinted, Grailed, Tradesy, Facebook, Instagram, OfferUp, TikTok Shop, Amazon, or any other platform). You are solely responsible for creating, publishing, updating, and removing your own listings on each marketplace you use.

2. Eligibility and Account Responsibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at info@sunfireexchange.com if you suspect unauthorized access.

3. Your Responsibilities as a Seller

• You are solely responsible for complying with the terms of service, policies, and applicable laws of every marketplace you list on. Sunfire Exchange is not affiliated with, endorsed by, or responsible for eBay, Poshmark, Mercari, Depop, Vinted, Grailed, Tradesy, Meta/Facebook, Instagram, OfferUp, TikTok Shop, Amazon, or any other third-party platform.
• You are solely responsible for the accuracy of your listings, the legality of the items you sell, and your compliance with consumer protection, tax, and marketplace-specific rules.
• You will not use the Service for any unlawful purpose, to list prohibited, stolen, or counterfeit goods, or in a way that violates a third party's rights.

4. AI-Generated Content and Suggestions

Pricing suggestions, trend alerts, profit forecasts, photo analysis, buyer-message drafts, and other AI-assisted output are generated using large-language-model estimates and Sunfire Exchange's own aggregated data. They are suggestions only, not guarantees of sale price, time-to-sell, or income, and may be inaccurate or outdated. You are responsible for reviewing and approving any AI-drafted content before acting on it or sending it to a buyer. Sunfire Exchange makes no earnings claims or income guarantees of any kind.

5. Financial and Tax Features

Fee estimates, profit-and-loss summaries, mileage logs, and tax-related reports provided by the Service are informational tools only and do not constitute tax, legal, accounting, or financial advice. Platform fee percentages are approximate and may not reflect a marketplace's current terms. You are solely responsible for verifying all figures and for your own tax filings and compliance; consult a licensed professional before making financial or tax decisions.

6. Subscription, Billing, and Cancellation

The Service is offered on a subscription basis (currently $20/month) following a 14-day free trial. Payments are processed by Stripe; Sunfire Exchange never receives or stores your full card number. Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial periods except where required by law.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. We do not guarantee any particular sale price, marketplace outcome, or income from your use of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNFIRE EXCHANGE AND TRINITY SUNFIRE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Trinity Sunfire LLC, its officers, and employees from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of your use of the Service, your listings, your violation of a marketplace's terms, or your violation of these Terms or applicable law.

10. Dispute Resolution: Binding Arbitration and Class Action Waiver

You and Sunfire Exchange agree that any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. You and Sunfire Exchange each waive the right to a jury trial and the right to participate in a class, collective, or representative action. This section survives termination of your account. If any part of this arbitration agreement is found unenforceable, the remainder still applies and disputes will proceed in the state or federal courts located in Volusia County, Florida.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, except where superseded by the arbitration agreement above.

12. Termination

We may suspend or terminate your account if you violate these Terms, misuse the Service, or for any other reason with reasonable notice where practical. You may stop using the Service and delete your account at any time from Settings.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date, and continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
